End User License Agreement (EULA)
This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Classic Ceramic + Tile ("we," "our," or "us") governing your access and use of our website, ERP platform, and related services ("Services").
By creating an account, logging in, or otherwise using our Services, you agree to be bound by this Agreement. If you do not agree, you must not use our Services.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services solely for the purpose of browsing inventory, placing orders, viewing invoices/estimates, and related functions provided by us.
You may not:
- Copy, modify, distribute, sell, or lease any part of our Services.
- Reverse-engineer, decompile, or attempt to extract source code from our Services.
- Use the Services for unlawful purposes or in violation of this Agreement.
2. Account Registration & Responsibilities
- To access certain features, you must create an account by providing accurate information.
- You are responsible for maintaining the confidentiality of your login credentials.
- You agree to notify us immediately of unauthorized use of your account.
- You are responsible for all activities conducted under your account.
3. Ordering & Payment
- Orders placed through the Services will be confirmed by phone or at pickup.
- Payment may be made over the phone via approved processors or at the time of pickup.
- All orders are subject to availability and acceptance by us.
- Pricing and availability may change without notice.
4. Integration with Third-Party Services
Our Services may integrate with third-party systems, including:
- QuickBooks (for invoice management).
- Supplier APIs (for real-time inventory data).
By using our Services, you acknowledge that third-party providers may have their own terms and privacy practices, which we are not responsible for.
5. Ownership & Intellectual Property
- All content, software, and technology within our Services are owned by us or our licensors.
- You are granted no ownership rights, only a license to use the Services as provided.
- Our trademarks, logos, and branding may not be used without our written consent.
6. Privacy & Data Protection
Your use of the Services is also governed by our Privacy Policy, which complies with the Personal Information Protection and Electronic Documents Act (PIPEDA).
By using our Services, you consent to the collection, use, and disclosure of your information as outlined in the Privacy Policy.
7. Termination
We may suspend or terminate your account and access to the Services at our discretion if you:
- Breach this Agreement.
- Provide false or misleading information.
- Engage in misuse of the Services.
You may terminate your account by contacting us. Upon termination, your license ends immediately.
8. Disclaimers & Limitation of Liability
- The Services are provided “as is” and “as available” without warranties of any kind.
- We do not guarantee uninterrupted or error-free operation of the Services.
- To the maximum extent permitted by law, we are not liable for any damages (direct, indirect, incidental, or consequential) arising from use of the Services, including reliance on supplier inventory data.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your misuse of the Services or violation of this Agreement.
10. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes shall be resolved exclusively in the courts of Ontario, Canada.
11. Changes to This Agreement
We may update this Agreement from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Agreement.
